1. AGREEMENT TO TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Sterling Solutions LLC ("Sterling Solutions," "we," "us," or "our"), governing your access to and use of our website(s), including all products, services, media, and communication channels relating to domains, hosting, technology products and services, invoices, news, announcements, and support ticketing (collectively, the "Services").

By accessing or using the Services, you agree to comply with and be bound by these Terms. If you do not agree, you are prohibited from using the Services and must discontinue use immediately.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

• You must be at least 18 years old and legally capable of entering contracts in New York State.
• You agree to provide true, accurate, current, and complete information as prompted by our registration forms.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.

• Website and technology product sales
• Access to invoices, transaction history, support ticketing, news, and announcements

Some services may require acceptance of additional agreements (e.g., domain registration or hosting-specific terms).

4. USER OBLIGATIONS & PROHIBITED USES

You agree not to:

• Violate any United States, New York State, or international law or regulation
• Infringe any intellectual property or proprietary rights of others
• Attempt to gain unauthorized access to our systems or data
• Use the Services to store, share, or distribute unlawful, harmful, obscene, or otherwise objectionable content
• Transmit spam, phishing, malware, or disruptive code
• Impersonate any person or entity or misrepresent your affiliation

5. SALES, PAYMENTS, & TAXES

• All purchases are subject to acceptance and availability.
• Prices and payment terms are specified on each product or service page.
• Payments must be made in full at the time of ordering by means indicated on the website.
• Sales tax: Sterling Solutions LLC is registered with New York State Department of Taxation and Finance and collects applicable state and local sales taxes on taxable goods and services delivered within New York. The combined rate will vary depending on delivery location.
• You are responsible for ensuring the information in your account and invoice is accurate for tax calculation and remittance.

6. INVOICING & ACCESS TO TRANSACTION DATA

• Upon purchase, an invoice is generated and made available electronically through your account dashboard and/or sent via email.
• Your transaction history is accessible within your online account at any time.
• You must notify Sterling Solutions of any invoicing errors within 30 days of provision.

7. SUPPORT TICKETING AND COMMUNICATIONS

• Support tickets may be opened anytime via the designated support portal; response times are posted on the support page.
• Official news and announcements relevant to users will be posted in your account area and/or sent via email notifications.
• You consent to receiving electronic communications necessary to fulfill services or regulatory obligations.

8. MODIFICATION OR TERMINATION OF SERVICES

• Sterling Solutions reserves the right to modify or discontinue any Service at any time, with or without notice.
• We may suspend or terminate your access for any violation of these Terms or conduct harmful to the company, its users, or third parties.

9. INTELLECTUAL PROPERTY

• All website content, software, designs, and trademarks are owned by or licensed to Sterling Solutions LLC unless otherwise stated.
• Users are granted a limited, revocable, nonexclusive license to access and use the Services for their intended purposes only.
• Any unauthorized copying, reverse engineering, or resale of our content or technology is strictly prohibited.

• You agree to Sterling Solutions’ data practices as outlined therein.

12. LIMITATION OF LIABILITY

• To the maximum extent permitted by law, Sterling Solutions is not liable for any direct, indirect, incidental, special, consequential, or punitive damages resulting from use of, or inability to use, the Services.
• Our total liability to you for any claim arising out of or relating to the use of Services is limited to the amount paid by you for those Services in the prior 12-month period.

13. INDEMNIFICATION

You agree to indemnify and hold Sterling Solutions LLC, its affiliates, and employees harmless against any third-party claims arising from your use of the Services, violation of the Terms, or infringement of rights.

14. GOVERNING LAW

These Terms are governed by the laws of the State of New York and applicable federal laws, without regard to conflict of law rules. Any disputes will be resolved in the courts of New York State.

15. CHANGES TO TERMS

Sterling Solutions LLC may amend these Terms at any time by posting the revised version to the website or otherwise notifying users. Continued use of the website after such amendments constitutes acceptance of the revised Terms.
